aggregate principal amount of the Company’s 0.800% Medium-Term
Notes, Series A, due August 18, 2024 (the “2024 Notes”) and $500,000,000
aggregate principal amount of the Company’s 2.100% Medium-Term
Notes, Series A, due September 1, 2028 (together with the 2024
Notes, the “Notes”).
The Notes were offered pursuant to the Company’s Registration
Statement on Form S-3 (File
No. 333-255862), filed
with the Securities and Exchange Commission on May 7, 2021,
and as supplemented by the Prospectus Supplement, dated May 7,
2021, and the Pricing Supplement, dated August 11, 2021.
