DEREGISTRATION OF UNSOLD SECURITIES

 

This Post-Effective Amendment to the Registration Statement on Form S-3 (Registration No. 333-221612) (the “Registration Statement”) of Advanced Disposal Services, Inc., a Delaware corporation (the “Registrant”), filed with the Securities and Exchange Commission on November 16, 2017, hereby amends the Registration Statement to deregister any and all securities registered pursuant to the Registration Statement that remain unsold or otherwise unissued under the Registration Statement as of the date of this post-effective amendment.

 

On October 30, 2020, pursuant to the Agreement and Plan of Merger, dated as of April 14, 2019, as amended by Amendment No. 1 thereto, dated as of June 24, 2020, by and among Registrant, Waste Management, Inc. (“Waste Management”) and Everglades Merger Sub Inc., a Delaware corporation and an indirect wholly-owned subsidiary of Waste Management (“Merger Sub”), Merger Sub merged with and into the Registrant (the “Merger”), with the Registrant continuing as the surviving company of the Merger and an indirect wholly owned subsidiary of Waste Management.

 

As a result of the Merger, all offerings pursuant to the Registration Statement have been terminated. In connection with the closing of the Merger, the Registrant hereby terminates the effectiveness of the Registration Statement and, in accordance with undertakings made by the Registrant in the Registration Statement to remove from registration by means of a post-effective amendment any and all of the securities that had been registered but which remain unsold or otherwise unissued under the Registration Statement at the termination of the offering, hereby removes from registration any and all securities registered but not sold under the Registration Statement as of the date hereof.
