Item 2.02 Results of Operations and Financial Condition.

On July 27, 2022, Upwork Inc., or the Company, will hold a conference call regarding its financial results for the quarter ended June 30, 2022. The Company issued a shareholder letter announcing its financial results for the quarter ended June 30, 2022. The full text of the shareholder letter is attached as Exhibit 99.1 to this report.
