Item 1.01 Entry into a Material Definitive Agreement.

On November 27, 2019, the Company entered into Amending Agreement No. 1 to the Amended and Restated Senior Secured Credit Agreement dated June 14, 2019 (the “Amendment”) among the Company, Royal Bank of Canada, as administrative agent, and the financial institutions party thereto as lenders , in order to, among other things, (i) amend the definition of “Funded Debt” to exclude operating lease liabilities (both current and long-term); and (ii) exclude from the calculation of the amounts specified in clauses (ii) and (iii) of subparagraph (a) in the definition of “Permitted Acquisition”, the consideration payable by the Company in connection with the proposed acquisition of Cedar Holdings DBA as Cedar Networks and MyDurango.net.
