Explanation of Responses:
(1)	On May 30, 2019, Holger Bartel granted a proxy to the Reporting Person with respect to 250,000 shares of the Issuer's Common Stock. As a result of the granting of this proxy, the Reporting Person may be deemed a beneficial owner pursuant to Section 13(d) of the Securities Exchange Act of 1934, as amended (the "Act"), of such shares. The Reporting Person disclaims beneficial ownership of such shares, and this report shall not be deemed an admission that the Reporting Person is, for purposes of Section 16 of the Act or otherwise, the beneficial owner of such shares. The Reporting Person has no pecuniary interest in such shares.
(2)	On November 6, 2019, Holger Bartel transferred to the Issuer 200,000 of the shares granted by proxy to the Reporting Person. 50,000 shares remain subject to the proxy granted on May 30, 2019.
(3)	Indirect ownership applies to Ralph Bartel and the Ralph Bartel 2005 Trust.
