On
February 16, 2021, Torchlight issued a press release announcing that the holder of Torchlight’s senior secured debt has
converted the remaining $1,500,000 of such debt into common stock at the conversion price of $1.50 per share, for a total of 1,000,000
shares. A copy of the press release is attached as Exhibit 99.1 to this current report on Form 8-K and is incorporated herein
by reference.
