The Registrant is unable to file its
Form 10-Q for the quarterly period ended June 30, 2023 within the prescribed time period without unreasonable effort or expense because
additional time is needed to finalize the financial statements to be included in such report. The Registrant anticipates that it will
file its Form 10-Q within the five-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

For the six months ended June 30, 2023
and 2022, we had net (loss) income of approximately ($0.6 million) and $5,215,214. The net (loss) income consisted of formation and operating
costs of approximately $0.4 million and $612,114, interest income of approximately $0.1 million and $562,693 and (loss) income from the
change in fair value of our warrant liability of approximately ($0.3 million) and $5,264,635, respectively.
For the three months ended June 30,
2023 and 2022, we had net (loss) income of approximately ($0.1 million) and $2,749,306, respectively. The net (loss) income consisted
of formation and operating costs of approximately $0.2 million and $322,054, interest income of approximately $0.1 million and $525,784
and (loss) income from the change in fair value of our warrant liability of approximately ($2,000) and $2,545,576, respectively.
The amounts reported above are still
under review by the Registrant’s independent registered public accounting firm and accounting staff and may differ once reported
in the Form 10-Q to be filed by the Registrant.
