Item 7.01 Regulation FD Disclosure.

On June 1, 2022, Terns Pharmaceuticals, Inc. (the “Company”) announced the appointment of Kerry Russell, M.D., Ph.D. as chief medical officer. Dr. Russell will report to Erin Quirk, M.D., the Company’s president and head of research and development.
