Item 8.01.

Other Events.

On January 8, 2021, after exhibiting some mild symptoms, the Chief Executive Officer of Strategic Education, Inc. (“Strategic Education”), Karl McDonnell, tested positive for COVID-19. Mr. McDonnell’s symptoms remain mild, and he continues to be fully engaged and perform his responsibilities as the Chief Executive Officer while isolating at home. Since the emergence of COVID-19, Strategic Education has implemented a number of measures to ensure the health and well-being of its students and employees, including a 100% work from home policy for most corporate and campus staff.
