Explanation of Responses:

(1)

On December 20, 2022, the reporting person filed a Form 4 which incorrectly stated that the price was $0.2570. This amendment has been filed by the reporting person to correct the price to $0. The reporting person transferred the shares to third parties as consideration for previous consulting and advisory services rendered by such third parties to the reporting person from June 2021 to October 2022 and did not receive any cash compensation for such transfer.
