Item 5.08

Shareholder Director Nomination.

The Board has established February 22, 2021 as the date of the annual meeting of the stockholders for the fiscal year ended June 30, 2020 (the “2020 Annual Meeting”). Because the date of the 2020 Annual Meeting has been changed by more than 30 days from the anniversary date of the Company’s 2019 annual meeting of stockholders, in accordance with Rule 14a-5(f) under the Securities Exchange Act of 1934, as amended, the Company is informing the stockholders of such change. The exact time and location of the 2020 Annual Meeting will be specified in the Company’s proxy statement for the 2020 Annual Meeting. Stockholders as of the close of business on the record date, January 13, 2021, will be entitled to vote at the meeting.

In order for a proposal under Rule 14a-8 under the Exchange Act to be considered timely, it must be received by the Company on or prior to 5:00 p.m., eastern time, January 2, 2021 at the Company’s principal executive offices at 1044 Northern Boulevard, Suite 305, Roslyn, New York 11576-1514, directed to the attention of the Corporate Secretary, which the Company believes is a reasonable time before it expects to begin to print and send its proxy materials. Any proposal received after such date will be considered untimely. All such proposals must be in compliance with applicable laws and regulations in order to be considered for inclusion in the Company’s proxy statement for the 2020 Annual Meeting.
