Shiloh Industries, Inc.’s Annual Meeting of Stockholders will be held on Tuesday, February 26, 2019 at the MTD Products Inc Lodge, 6029 Grafton Road, Valley City, Ohio 44280, at 9:00 a.m. EST.

Directions to the Annual Meeting may be obtained by calling 1-330-558-2601.

Proposals to be voted on at the meeting are listed below.

The Board of Directors recommends a vote FOR all nominees; FOR Proposals 2, 3, 5, and 6; and for every 3 YEARS on Proposal 4:

1. The Election of Directors

2. Ratification of Appointment of Independent Registered Public Accounting Firm for 2019

3. Advisory Vote on Named Executive Officer Compensation

4. Advisory Vote on the Frequency of an Advisory Vote on Named Executive Officer Compensation
