Explanation of Responses:
(1) The sale reported on this Form 4 represents the number of shares required to be sold by the Reporting Person to cover tax withholding obligations in connection with the vesting of Restricted Stock Units ("RSUs"). This sale is mandated by the Issuer's election under its equity incentive plans to require the satisfaction of tax withholding obligations in connection with the vesting of RSUs to be funded by a "sell to cover" transaction, and does not represent a discretionary trade by the Reporting Person.
(2) The price reported is a weighted average sale price. The shares were sold in multiple transactions at prices ranging from $24.7648 to $25.5780, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote.
(3) Includes 50,109 RSUs subject to time-based vesting conditions in accordance with the underlying award. Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock and has no expiration date.
