Item 2.02. Results of Operations and Financial Condition.

On August 2, 2022, Reliance Global Group, Inc. (the “Company”), issued a press release announcing its expectation with respect to certain of its unaudited financial results for the fiscal second quarter ended June 30, 2022, specifically for revenue for the second quarter of 2022 to approximately double compared to the same period last year. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
