Explanation of Responses:
(1)	The Company granted Mr. McGann options to purchase shares of common stock each year that he remains in service as a Non-Executive Director in the amount of 100,000 options per year, vesting quarterly at the stock price on the date of the grant, in accordance with the Company's 2019 Equity and Incentive Plan.
(2)	Options expire on such date that Mr. McGann is no longer a Non-Executive Director of the Board of Directors of the Company.
