Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2019, Protective Insurance Corporation (the “Company”) received notification from Mr. William C. Vens of his intent to resign his role as Chief Financial Officer (“CFO”) for a new opportunity.  There was no disagreement between the Company and Mr. Vens relating to the Company’s operations, policies or practices that led to his resignation.   The Company is conducting a search process to identify and evaluate candidates for the CFO position. In order to support and facilitate the CFO transition, Mr. Vens plans for his resignation to be effective in August 2019 and has agreed to remain employed as CFO at least through the filing of the Company's Form 10-Q for the second quarter of 2019.
