On November 7, 2022, Oportun Financial Corporation (the “Company”) issued a press release regarding the Company’s financial results for its fiscal quarter ended September 30, 2022. A copy of the Company’s press release is furnished as Exhibit 99.1 to this report.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 1, 2022, the Honorable Aida Alvarez notified the Corporate Secretary and the Board of Directors of the Company that she intended to resign from her position as a director of the Company, as well as her roles as the chair of the nominating, governance and social responsibility committee and member of the compensation and leadership committee. Ms. Alvarez has been a director of the Company since 2011. Ms. Alvarez stated that her resignation did not involve any disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
