Item 5.02      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 28, 2019, Anthony Villani, Executive Vice President & General Counsel of Mr. Cooper Group Inc. (the “Company”), informed the Company of his intent to retire from the Company effective October 4, 2019. Mr. Villani, 62, joined Nationstar Mortgage LLC, a subsidiary of the Company, in 2011. Jay Bray, President & CEO of the Company, said “During his time here, Tony has been instrumental in evolving our legal function and led his team through our initial public offering in 2012, our merger with WMIH Corp. in 2018, and multiple acquisitions. Tony has been a central figure in our success, and we are grateful for all he has done to advance the Company.”
