Item 8.01 Other Events

On February 10, 2021, the Company issued a press release announcing that the underwriters of its public offering exercised in full their option to purchase an additional 2,141,052 shares of common stock at the public offering price of $4.75 per share, bringing total gross proceeds to approximately $78.0 million before underwriting discount.
