Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On December 30, 2019, MICT, Inc., a Delaware corporation (the “Company”) filed an Amended Certificate of Designation of the Preferences, Rights and Limitations with the Secretary of State of Delaware (the “Certificate of Designation”) to, among other things, remove the prohibition on forced conversions of the Company’s Series A Preferred Stock, par value $0.001 per share, into shares of common stock in the event the Company’s stockholders fail to approve a business combination on or prior to December 31, 2019.

 

The foregoing description of the Certificate of Designation is not complete and is subject to and qualified in its entirety by reference to the Certificate of Designation, a copy of which is attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
