Other Events.

On December 15, 2020, Marvell Technology Group Ltd. (“Marvell”) issued a press release announcing that the waiting period under the Hart-Scott-Rodino Act of 1976, as amended, in connection with its previously announced proposed acquisition of Inphi Corporation (“Inphi”), expired at 11:59 p.m. EST on December 14, 2020. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
