Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 16, 2022, Glenn Peterson voluntarily resigned as a member of the Board of Directors of the registrant (“Laser Photonics”) without any disagreement regarding the operations, policies or practices of the Laser Photonics. Mr. Peterson was a member of the Audit Committee, Nominating and Corporate Governance Committee and Compensation Committee of the Laser Photonics Board of Directors. Laser Photonics intends to replace Mr. Peterson with another independent director as that term is defined under the Nasdaq rules.
