Results
of Operations and Financial Condition.

On
February 2, 2021, Landmark Bancorp, Inc. (the “Company”) issued a press release announcing financial results for the
three months and year ended December 31, 2020. The press release is furnished as Exhibit 99.1 and is incorporated herein by reference.
The
information in this item and the attached exhibit shall not be deemed “filed” for purposes of Section 18 of the Securities
Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933,

The
Company also announced on February 2, 2021, that its Board of Directors approved a cash dividend of $0.20 per share. The cash
dividend will be paid to all stockholders of record as of the close of business on February 17, 2021 and payable on March 3, 2021.
