Explanation of Responses:
(1)	The issuer's compensation committee determined that the pre-established performance condition for 2020 was attained with respect to 20,195 performance restricted stock units covered by an award received by the reporting person on February 17, 2020, representing approximately 80.8% of the target number of units. There are three remaining tranches covered by the award which are conditioned on attainment of pre-established performance criteria (25,000 target units for each of the years ending December 31, 2021, 2022 and 2023).
(2)	Each unit represents a contingent right to receive one share of common stock at settlement.
(3)	These units remain subject to a time-based vesting schedule (vesting on December 31, 2022).
