Item 7.01. Regulation FD Disclosure

On July 30, 2021, Infrastructure and Energy Alternatives, Inc. (the “Company”) issued a press release to announce that IEA Energy Services LLC, its wholly owned subsidiary, intends, subject to market and other customary conditions, to offer $300 million aggregate principal amount of senior unsecured notes due 2029 (the “Notes”) in a private placement to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and/or to certain non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act (the “Offering”). The Notes will be guaranteed on a senior unsecured basis by IEA and certain of its domestic wholly-owned subsidiaries.

The Issuer intend to use the net proceeds from the Notes Offering to repay the balance outstanding under our term loan under our Third Amended and Restated Credit agreement and to pay for the redemption of a portion of our outstanding Series B Preferred Stock

The Notes and related guarantees have not been and will not be registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States or to any U.S. persons except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act.
