Explanation of Responses:

Restricted Stock Units ("RSUs") granted to Reporting Person on January 3, 2019 and January 10, 2020 were accelerated and became fully vested on March 23, 2021. The amount reported in Column 4 represents the number of shares of Issuer common stock required to be sold by the Reporting Person to cover tax withholding obligations in connection with the vesting of 24,050 RSUs on March 23, 2021. This sale is mandated by the Issuer's election under its 2013 Stock Incentive Plan to require the satisfaction of tax withholding obligations to be funded by a "sell to cover" transaction and does not represent a discretionary trade by the Reporting Person.
