These securities are owned directly by 2176423 Ontario Ltd. Eric Sprott controls 2176423 Ontario Ltd. and has the power to direct the voting and disposition of Class A common stock held by the entity through his ownership interests in 2176423 Ontario Ltd. All of the Reporting Persons are a "group" for purposes of Section 13(d) of the Exchange Act. 2176423 Ontario Ltd. also holds warrants to acquire 23,408,240 shares of Class A common stock, but the terms and conditions of the warrants preclude 2176423 Ontario Ltd. from exercising the warrant to the extent that such exercise would cause 2176423 Ontario Ltd. (together with its affiliates) to beneficially own in excess of 9.8% of the shares of Class A common stock of Hycroft Mining Holding Corporation immediately after such exercise. As a result of the transactions reported by this Form 4, warrants to acquire 911,760 shares of Class A common stock became exercisable and such shares may be deemed to be beneficially owned by the Reporting Persons.
