Explanation of Responses:
(1)	This transaction reflects a capital contribution of shares from Winmill & Co. Incorporated to its wholly owned subsidiary, Midas Securities Group, Inc.

Remarks: The Reporting Person may be deemed to be an affiliate of the Issuer. The Winmill Family Trust owns all of the voting stock of the Reporting Person. Thomas B. Winmill and Mark C. Winmill are trustees of the Winmill Family Trust and may be deemed to have indirect beneficial ownership of the Reporting Person's shares as a result of their status as controlling persons of the Winmill Family Trust and the Reporting Person. Each of Thomas B. Winmill, Mark C. Winmill and the Winmill Family Trust disclaims beneficial ownership of these shares.
