Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Board of Directors has appointed Mr. Thomas Vecchiolla as Director, effective July 12, 2021 to fill a vacancy on the Board. Mr. Vecchiolla will also serve as a member of the Company’s Audit Committee and Compensation Committee.
