Explanation of Responses:

(1)

Disposed of pursuant to the Agreement and Plan of Merger, dated as of June 24, 2020 (the "Merger Agreement"), by and among the Issuer, Portman Ridge Finance Corporation ("PTMN"), Citadel Acquisition Sub, Inc. and Sierra Crest Investment Management LLC ("Sierra Crest"). Pursuant to the Merger Agreement, in exchange for each share of common stock, par value $0.001 per share, of the Issuer, the holder thereof received (i) 1.91693999 shares of PTMN common stock, par value $0.01 per share, having a market value of $1.30 per share on the close of trading on October 27, 2020, (ii) $1.1900792 in cash, without interest, from PTMN, and (iii) $0.31153906 in cash, without interest, from Sierra Crest. The disposition reported in this Form 4 is an exempt transaction.
