(1)  Represents the number of RSAs granted to the Reporting Person pursuant to Conformis' 2015 Stock Incentive Plan. The shares will vest 100% on the one year anniversary of the grant date.
(2)  The securities are directly held by NewtrAx LLC, which is indirectly controlled by Lexa International Corporation. The Reporting Person is affiliated with NewtrAx LLC and disclaims beneficial ownership of all shares except to the extent of his pecuniary interest therein.
