Item 8.01          Other Events

On December 3, 2020, Cognex Corporation (the “Company”) announced that its Board of Directors declared a special dividend of $2.00 per share. The dividend is payable on December 28, 2020 to all shareholders of record at the close of business on December 14, 2020. The aggregate payment will be approximately $350 million and funded using existing cash balances.

Future dividends will be declared at the discretion of the Company’s Board of Directors and will depend upon such factors as the Board deems relevant, including, among other things, the Company’s ability to generate positive cash flow from operations.
