Explanation of Responses:
(1)	The restricted shares are granted pursuant to the Company's 2003 Omnibus Equity Incentive Plan and shall vest in four annual increments of 25% beginning on February 9, 2022.
(2)	Mr. Cofer disclaims beneficial ownership of the shares of the Company's Class A Common Stock owned by the Timothy P. Cofer Living Trust dated 7/21/10 except to the extent of his pecuniary interest therein.
(3)	Stock options granted under the Company's 2003 Omnibus Equity Incentive Plan, as amended.
(4)	The options shall vest in annual increments of 25% beginning on February 9, 2022.
