Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 3, 2022, director Harold Edwards gave notice of his retirement from the Board of Directors effective February 1, 2022 and that he will not stand for re-election at Calavo’s 2022 annual meeting of shareholders. Mr. Edwards’s decision was not the result of any disagreements with Calavo on any matter relating to Calavo’s operations, policies or practices.

Item 7.01. Regulation FD Disclosure.

On January 6, 2022, the Company issued a press release announcing the retirement of Mr. Edwards from the Board of Directors. A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated herein by reference.
