Explanation of Responses:
(1)  As previously reported, on July 25, 2016 the reporting person received a grant of 22,527 shares of performance based restricted stock. A portion of the performance metrics were met, therefore a portion of these restricted shares vested on the third anniversary of the date of the remaining shares were automatically forfeited.
(2)  Includes shares of restricted stock granted pursuant to the Brookline Bancorp, Inc. 2014 Equity Incentive Plan.
(3)  Reflects ESOP allocations and distributions that have occurred since the date of the reporting person's last ownership report.
(4)  This Form 4/A amends and replaces in its entirety the Form 4 filed by the Reporting Person with the U.S. Securities and Exchange Commission on July 29, 2019. This Form 4/A is filed solely to correct the total number of shares of the Issuer's common stock reported as held by a GRAT for which the Reporting Person has an interest, due to the typographical reporting error that has now been corrected in this footnote. No other changes have been made to the original Form 4.
