Item 8.01.
Other Events.

On April 27, 2021, Boston Private Financial Holdings, Inc. (“Boston Private”) issued a press release announcing that it convened and adjourned, without conducting any other business, the special meeting of Boston Private shareholders scheduled for 10:00 a.m. Eastern time on April 27, 2021, until 9:00 a.m. Eastern time on May 4, 2021. The reconvened special meeting will be held solely via live webcast and there will not be a physical meeting location. Boston Private shareholders will be able to attend the special meeting online by visiting www.cesonlineservices.com/bpfh21_vm.
 
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
