Item 2.02 Results of Operations and Financial Condition.

Earlier today, July 20, 2022, Biogen Inc. (the "Company") issued a press release announcing its results of operations and financial condition for the second quarter ended June 30, 2022, and furnished a copy of the press release as Exhibit 99.1 to a Current Report on Form 8-K filed by the Company (the "Original Report").

This Current Report on Form 8-K/A amends the Original Report on Form 8-K solely to correct a typographical error in the dates appearing in the header of the second table on page 11 of the press release furnished with the Original Report.

A copy of the revised press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K/A report to item 2.02, and is incorporated herein by reference. The revised press release shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that Section, nor shall such document be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act.
