Explanation of Responses:
(1)	The 17,422 shares of Class A Common Stock are represented by 17,422 restricted stock units ("RSUs") granted under the BGC Partners, Inc. Seventh Amended and Restated Long Term Incentive Plan. Each RSU represents a contingent right to receive one share of Class A Common Stock. Of the 17,422 RSUs, 8,711 RSUs will vest on June 11, 2021 and 8,711 RSUs will vest on June 11, 2022, provided that the reporting person continues to serve as a member of the Board of Directors of the Issuer on such dates.
(2)	Includes (i) 2,015 RSUs granted on June 20, 2018, all of which will vest on June 20, 2020 and (ii) 9,746 RSUs granted on June 25, 2019, of which 4,873 RSUs will vest on June 25, 2020 and 4,873 RSUs will vest on June 25, 2021, provided that the reporting person continues to serve as a member of the Board of Directors of the Issuer on such dates.
