Item 5.02       Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

(e)        On May 21, 2019, the stockholders of Bank of Commerce Holdings (the “Company”) approved the adoption of the 2019 Equity Incentive Plan (the “2019 Plan”). The 2019 Plan replaces the Company’s Amended and Restated 2010 Equity Incentive Plan. Under the 2019 Plan, the Company may grant awards to the Company’s employees and non-employee directors. The 2019 Plan provides for grants of incentive stock options, nonqualified stock options, stock appreciation rights, restricted shares, and restricted stock units. The Company may grant awards for up to 500,000 shares of the Company’s common stock under the 2019 Plan.

Item 5.07     Submission of Matters to a Vote of Security Holders

 

The 2019 Annual Meeting of Shareholders (the “Annual Meeting”) of the Company was held on May 21, 2019. There were 18,126,699 shares outstanding and entitled to vote at the Annual Meeting. Of those shares, 15,346,278 were present in person or by proxy. The following matters were voted upon at the Annual Meeting:

 

1.

Proposal No. 1 – the election of ten directors to serve on the board of directors until the 2020 annual meeting or until their successors have been elected and qualified;

 

2.

Proposal No. 2 – ratification of the selection of Moss Adams LLP as the Company’s independent registered public accounting firm for 2019;

 

3.

Proposal No. 3 – an advisory (non-binding) resolution to approve named executive officer compensation;

 

4.

Proposal No. 4 – an advisory (non-binding) vote on the frequency of future say-on-pay votes;

 

5.

Proposal No. 5 – approval of the 2019 Equity Incentive Plan.
