Item 2.02 Results of Operations and Financial Condition.

On July 5, 2022, Aviat Networks, Inc. (“Aviat” or the “Company”) issued a joint press release relating to the Transaction (defined below) with Redline (defined below) which reaffirmed guidance for the Company’s fiscal year ended July 1, 2022. A copy of the press release is attached hereto as Exhibit 99.1.

Item 7.01 Regulation FD Disclosure.

The Company and Aviat, U.S., Inc., a wholly-owned subsidiary of the Company, completed the acquisition of Redline Communications Group Inc. (“Redline”), a Canadian corporation (TSX: RDL), pursuant to a statutory plan of arrangement under the Canada Business Corporations Act (the “Arrangement”). Aviat purchased all of the issued and outstanding shares of Redline in an all-cash transaction at approximately $0.72 ($0.90 CAD) per share (the “Transaction”) with a total purchase price of $12.4 million ($15.5 million CAD). The Company and Redline issued a joint press release dated July 5, 2022, announcing the completion of the Arrangement. A copy of the press release is attached hereto as Exhibit 99.1.
