Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On July 28, 2022, John Bitzer, III, provided notice to the Board of Directors (the “Board”) of Applied DNA Sciences, Inc. (the “Company”) of his intention to retire from the Board and to not stand for re-election as director at the Company’s upcoming annual meeting of stockholders (the “Annual Meeting”), currently scheduled for September 22, 2022. Mr. Bitzer’s term as director will expire upon the election of directors at the Annual Meeting. Mr. Bitzer’s notice was not the result of any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
