Item 8.01 Other Events.

The Registrant deeply regrets to announce that John Garrison, Chief Financial Officer of the Registrant, passed away unexpectedly on July 30, 2022. Mr. Garrison had been an officer of the Registrant since February 2022. The Registrant is extremely grateful for Mr. Garrison’s service and commitment to the Registrant. The Registrant’s Board of Directors and management extends its sincerest condolences to Mr. Garrison’s family.

Doug Grau, the Registrant’s current President and a director, will assume the interim role as the Registrant’s principal accounting officer.
