Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On June 28, 2021, the Compensation Committee of the Board of Directors of AIkido Pharma, Inc. (the “Company”) entered into an amendment to the employment agreement between the Company and Anthony Hayes, the Company’s Chief Executive Officer, dated September 6, 2013, as amended on April 1, 2016 and October 9, 2017, (the “Employment Agreement”), which became effective on July 1, 2021 (the “Amendment”). The Amendment provides that the term of the Employment Agreement shall be extended to June 28, 2024 and that Mr. Hayes’ executive compensation will be increased to $500,000 annually. Mr. Hayes will also be entitled to certain additional milestone and performance based fees, as described in the Amendment.

 

All other terms of the Employment Agreement shall remain in full force and effect.
