(2)	Represents shares withheld for tax purposes on settlement of RSUs.
(3)	The RSUs were granted on December 17, 2019, and vest as follows: 18,182 on December 17, 2020; 18,182 on December 17, 2021; 18,182 on December 17, 2022; and 18,181 on December 17, 2023; provided that the RSUs shall vest immediately on a change in control. Settlement of all vested RSUs occurred on February 9, 2021.
