the sole member and manager of ThoughtValley, LLC, which is the
sole general partner of ThoughtValley. Accordingly, all of the
shares held by ThoughtValley may be deemed to be beneficially held
by Mr. Nichols. |

performance-vested performance restricted stock units, the
performance metric having been achieved at the conclusion of the
first quarter of 2022, will now time vest as follows: (i) the
performance restricted stock units time vest one-third on December
