Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 20, 2021, Mr. Richard Rubino, the Chief Financial Officer, Secretary and Treasurer of Aerie Pharmaceuticals, Inc. (the “Company”), provided notice to the Company of his intent to resign from his roles at the Company due to personal reasons. Mr. Rubino’s resignation will be effective July 30, 2021 and until that time, among his regular duties, he will assist with an orderly transition of his responsibilities. Mr. Rubino’s departure is not due to a dispute on any matter relating to the Company’s accounting and financial policies or operations. The Company will be conducting a search to fill the position.
