Item 8.01. Other Items.

On September 4, 2019, Aerie Pharmaceuticals, Inc. (the “Company” or “Aerie”) issued a press release announcing the upsizing to $275 million aggregate principal amount, and the pricing of, its previously announced offering of Convertible Senior Notes due 2024 (the “notes”). In connection with the pricing of the notes, Aerie entered into privately negotiated capped call transactions with certain of the initial purchasers of the notes and/or their respective affiliates. The full text of the press release is attached to this report as Exhibit 99.1, which is hereby incorporated by reference to this Item 8.01.
