Departure of Directors or Principal Officers; Election of
Directors; Appointment of Principal Officers.

Departure of Palvi Mehta
On September 30, 2022, the Board of Directors (the “Board”) of
5E Advanced Materials, Inc. (“5E” or the “Company”) accepted the
resignation of Palvi Mehta as a member of the Board and all
committees thereof, effective as of October 3, 2022.
Ms. Mehta’s decision to resign from the Board was
not related to any disagreements with the Company on any matter
relating to its operations, policies or practices or any issues
regarding financial disclosures, accounting or legal matters.
