Explanation of Responses:

(1)

Transaction represents grant of Restricted Stock Units (RSUs) in a transaction exempt under Rule 16b-3(d). On December 28, 2020 the Reporting Person was granted 11,507 RSUs which vest on June 3, 2021 (the "Vesting Date"), provided that the Reporting Person's service as a director of the Company continues to such date. Each RSU represents the contingent right to receive, at settlement, one share of Wireless Telecom Group (WTT) Common Stock subject to vesting of said unit. Settlement will occur within 30 days of the earlier of three years from the grant date, the date of the Reporting Person's separation from service (assuming vesting) or a change in control (assuming vesting).
