(1)  Represents restricted stock units that vest in three equal annual installments beginning December 31, 2022. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.

Remarks:
This "Exit" Form 4 is voluntarily filed to report that the Reporting Person is no longer an elected executive officer of the issuer effective as of May 10, 2022, and therefore is no longer subject to Section 16 reporting. The Reporting Person continues to be employed at the issuer as a vice president but is no longer a Section 16 Reporting Person.
